Terms of service

These terms cover your use of ActiveKit, the growth platform at activekit.app. They are an agreement between your organization and the business that operates it.

1. Who you are agreeing with

ActiveKit is the platform at activekit.app, and Hello MSG Inc, a corporation registered with the Securities and Exchange Commission in the Philippines, is the company that operates it. Where these terms say ActiveKit, they mean Hello MSG Inc and the platform it runs, and the rest of this document says ActiveKit. Where they say you, they mean the organization that holds the account, and every member you invite into it.

ActiveKit is sold to businesses. By accepting these terms you confirm you can enter a contract on behalf of your organization, and that you are using ActiveKit for that organization rather than as a consumer.

2. What ActiveKit does

ActiveKit runs growth campaigns against events from your own product. Where these terms say your users, they mean the people who use that product, not the members you invite into ActiveKit. You send events, you configure the criteria a campaign evaluates, and ActiveKit records what each of your users earned under it. That record is called a grant.

A grant is a record, not a movement of money. It says what one of your users earned under a campaign you configured. Acting on it happens in your own billing system, on your terms, with your own credits or entitlements. ActiveKit reads and writes its own record of that, and nothing else.

ActiveKit issues no monetary value, holds no funds, and never pays out. Coins are earned in the customer's product, never bought: there is no way to put value in, no transfer between users, and no cash-out. A balance never leaves the product it was earned in. Coins buy cosmetics, which ActiveKit fulfills, and the customer's own product value, which the customer fulfills. The store prices everything in coins and nothing in money, and ActiveKit sells nothing a coin buys. ActiveKit is not a payment service and not an issuer of vouchers, gift cards, or store credit, and a coin balance is not a claim on money against ActiveKit or against anybody else.

3. Your account

You are responsible for what happens under your account. That means keeping your account details accurate, choosing who you invite as a member and what role you give them, and keeping your API keys secret. Anyone holding one of your API keys can write events as your organization, so treat a key the way you treat a password and rotate it the moment you think it has leaked.

Tell ActiveKit at hello@activekit.app if you find unauthorized use of your account, and ActiveKit will help you shut it down.

4. What you may not run on ActiveKit

These are the limits, and they are not negotiable while your account is open.

  • Nothing illegal, and nothing that helps somebody else do something illegal.
  • No lottery, sweepstake, raffle, or any other campaign whose outcome turns on chance rather than on something your user did.
  • No campaign that pays a person for recruiting other people into a chain, and no multi-level structure built on top of one.
  • Nothing that presents what ActiveKit records as money, store credit, a gift card, a voucher, or anything else a person can redeem for cash or transfer to somebody else.
  • No personal data you have no right to send, and no special category data such as health, biometric, or financial account records.
  • No attacks on the service: do not probe it, overload it, work around a rate limit, or try to reach data that belongs to another organization.
  • No reselling, sublicensing, or white labeling ActiveKit without a separate written agreement.

5. Your data

The events you send stay yours. ActiveKit processes them to run the campaigns you configured and to show you what those campaigns did, and for nothing else. What ActiveKit collects, why, and how long it keeps it are set out in the privacy policy, which also says how to ask for a copy of your data.

After an account closes, ActiveKit deletes what it holds for you within 90 days, apart from records it has to keep for tax and accounting.

6. Plans, fees, and billing

ActiveKit is a flat monthly subscription. There is no usage metering and no reconciliation at the end of a month: the price of your plan is the price, and it is charged in US dollars in advance. Current prices are on the pricing section of the homepage.

Paddle is the merchant of record for ActiveKit. That means Paddle is the seller on your invoice, collects the payment, and registers for and remits the sales tax, VAT, or GST that applies where you are. Your payment terms are with Paddle; your terms for the service are this document. When a refund is due, Paddle issues it. See the refund policy.

Each plan carries limits on live campaigns and on monthly active users. Both count across every app in your organization rather than per app. Apps themselves are unlimited on every plan.

A subscription renews every month until you cancel it. If ActiveKit changes the price of your plan, you get notice by email at least 30 days before the change reaches your subscription, and you can cancel before it does.

7. Availability and changes to the service

ActiveKit works to keep the platform available, but these terms carry no uptime commitment. If your organization needs a service level agreement, that is a separate written agreement.

ActiveKit adds, changes, and removes features as the product develops. Where a change would break something you already depend on, such as an API response you parse, you get reasonable notice before it lands.

8. Canceling and suspension

You can cancel at any time from the Paddle customer portal linked from your invoices. The subscription stays live until the end of the period you already paid for, then stops.

ActiveKit can suspend or close an account that breaks section 4, that does not pay, or that puts the service or other organizations at risk. Where it is safe to do so, you get notice and a chance to fix the problem first.

9. No warranty

ActiveKit is provided as it is. To the extent the law allows, ActiveKit makes no warranty that the service will be uninterrupted, free of errors, or fit for a particular purpose. You decide what to do with what ActiveKit records, including whether and how to act on a grant in your own systems, and that decision is yours alone.

10. Liability

To the extent the law allows, neither side is liable to the other for indirect, incidental, or consequential loss, or for lost profit, lost revenue, or lost data. The total liability of ActiveKit under these terms is limited to the fees you paid in the 12 months before the claim arose. Nothing here limits liability that the law does not allow to be limited.

You are responsible for the campaigns you run and for the data you send. If a third party brings a claim against ActiveKit because of either, you cover the reasonable cost of dealing with it.

11. Changes to these terms

ActiveKit updates these terms as the service changes, and the date at the top of this page says when it last did. For a change that materially affects you, ActiveKit emails the account owner at least 30 days before it takes effect. Using ActiveKit after that date means you accept the new version.

12. Governing law

These terms are governed by the laws of the Philippines, and a dispute goes to a court in the Philippines that has jurisdiction over it.

A contract governed by Philippine law normally names one city as the exclusive venue. That city follows from the registered business address, which is not published on this page, so no venue is named here yet.
